1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Loopin platform, products, and services ("Services"), provided by Loopin SaaS Ltd ("Loopin", "we", "us"). By accessing or using our Services, you agree to be bound by these Terms.

If you are using Loopin on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

2. Our Services

Loopin provides software-as-a-service tools designed to support employee engagement, learning, coaching, and organisational insight. Features and functionality may vary by plan and may be updated or improved over time.

We may modify, suspend, or discontinue parts of the Services where reasonably necessary, including for maintenance, security, or improvement purposes.

3. User Responsibilities

You agree to:

• • use the Services lawfully and in accordance with these Terms
• • keep your account credentials secure and confidential
• • ensure that any information you provide is accurate and up to date
• • not misuse the Services, interfere with their operation, or attempt to access them without authorisation

You are responsible for all activity that occurs under your account.

4. Intellectual Property

All intellectual property rights in the Services, platform, and related materials belong to Loopin or its licensors. You are granted a limited, non-exclusive, non-transferable right to use the Services for their intended purpose during your subscription or authorised use.

You retain ownership of your own content and data.

5. Data Protection

Your use of the Services is subject to our Privacy Policy, which explains how we collect and use personal data. Where Loopin processes personal data on behalf of a customer, it does so as a data processor in accordance with applicable data protection laws.

6. Availability and Support

We aim to provide reliable access to the Services but do not guarantee uninterrupted availability. Planned maintenance and unforeseen outages may occur.

Support levels may vary depending on your agreement with Loopin.

7. Limitation of Liability

To the fullest extent permitted by law:

• Loopin shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Loopin's total liability arising out of or in connection with the Services shall not exceed the fees paid to Loopin in the 12 months preceding the claim

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under law.

8. Termination

We may suspend or terminate access to the Services if these Terms are breached or where reasonably necessary to protect the platform, users, or Loopin's legal obligations.

Upon termination, your right to use the Services will cease.

9. Changes to These Terms

We may update these Terms from time to time. Any changes will be posted on our website and take effect from the date of publication. Continued use of the Services constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
